ACCEPTANCE OF TERMS

You also agree and acknowledge that in order to access our full database of scholarships and other forms of financial aid available to individuals (the "Services") displayed within our Site, you must register. Your registration creates a binding contract between you and SchoolSoup.com consisting of these Terms and our Privacy Policy.

SchoolSoup.com reserves the right, at its sole discretion, to modify or terminate the Services or to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modification on our Site or electronically provide you with notice of the modification. We will also update the "Last Updated" date at the top of the Terms page of our Site and note the modified provisions with a "Last Updated" date. By continuing to access or use the Services after we have posted a modification or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Site.

ACCOUNT REGISTRATION

In order to access some portions of the Site and our Services, you must complete a registration form. You will provide true, accurate, current, and complete information about you as requested in the registration form and will update the information to keep it current.

ACCOUNTS, LOGIN AND SECURITY

Upon registering with SchoolSoup.com, you will be assigned an account which uses your email address as the account login. Your password will be set by you and you will be responsible for maintaining the confidentiality and security of your account and password and for all uses of the account and of the Services. You agree that at the time of registration, SchoolSoup.com will email you your user name and password. At its sole discretion, SchoolSoup.com reserves the right to refuse registration of accounts, or cancel any existing accounts, that it deems to contain inaccurate or inappropriate information. You agree that (a) you have the legal capacity to enter into contracts, (b) you are providing us at all times with true, accurate, complete and up to date information about yourself, © you will comply at all times with these Terms and applicable law and (d) immediately notify SchoolSoup.com of any unauthorized use of your password or account or any other breach of security. SchoolSoup.com will not be liable for any loss or damage arising from your failure to comply with this Section. You may be held liable for any loss incurred by SchoolSoup.com or any other user of the Site due to someone else using your password or account.

SITE NOT INTENDED FOR CHILDREN UNDER THE AGE OF 13

SchoolSoup.com is not directed to or intended to be used by children under 13 and we do not knowingly collect, use or disclose any Personal Information from children under 13. In the event that we learn that we have collected Personal Information from a child under age 13 without verification of parental consent, we will delete that information as quickly as possible. CONTENT AND INTELLECTUAL PROPERTY

All trademarks, service marks, computer code, text, logos, graphics, user interfaces, visual interfaces, photographs and artwork (collectively, "Content"), including but not limited to the structure, design, selection, coordination, expression, "look and feel" and arrangement of all Content contained on the Site is owned, controlled or licensed by or to SchoolSoup.com, and is protected by copyright, patent laws, trademark laws, and many other intellectual property rights, including, but not limited to laws, related to compilations and collective works and other applicable laws.

AUTOMATED ACCESS AND INTERFERENCE TO SITE

SchoolSoup.com uses robot exclusion methods, which include robots.txt files and HTML meta tags, that expressly allow and/or exclude specified automated programs from accessing certain portions of the Site. Much of the information on the Site is proprietary or is licensed to SchoolSoup.com by third parties. You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose, including but not limited to performing "offline" searches and mirroring, without our express written permission as indicated in the then current robots.txt file or HTML meta tags on the Site. Without limiting other remedies, we may terminate your account, remove your information, preserve transmittal or communication by you with SchoolSoup.com, issue a warning, and refuse to provide our Services to you if: (a) you breach these Terms or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; © we believe that your actions may cause financial loss or legal liability for you, our users or us; or (d) if we suspect that you have engaged in fraudulent activity in connection with the Site or the Services.

If SchoolSoup.com takes any legal action against you as a result of your violation of these Terms, SchoolSoup.com will be entitled to recover from you, and you will agree to pay, all reasonable attorneys' fees and costs of any such action, in addition to any other relief granted to SchoolSoup.com, which may include compensation for our losses as well as any appropriate damages for your use of our database or extracts thereof. You agree that SchoolSoup.com will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms.

SchoolSoup.com reserves the right to modify or discontinue, temporarily or permanently the Site for any reason, at its sole discretion, with or without notice to you. SchoolSoup.com cannot ensure that any of the files or data that you download from the Site will be free of a virus or other destructive programs or features. You agree to access and use the Site and its contents at your own risk including, but not limited to, other links on the Site.

FEEDBACK

SchoolSoup.com enables you provide us with feedback by email or other electronic means ("User Content"). You hereby agree that if you provide User Content, you grant to SchoolSoup.com a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to analyze, use, delete, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display any User Content, throughout the world in any media, now known or hereafter developed, for any purpose whatsoever, commercial or otherwise, without providing compensation to you or any other person, without any liability whatsoever, and you waive any and all moral rights in the User Content. SchoolSoup.com is not a scholarship or tuition provider and makes no representations or guarantees regarding the effectiveness or timeliness of the Site in meeting your objectives. We use our best efforts to match you with relevant scholarships through our match program. This search is intended to assist you in finding scholarships which are applicable to you or your interests. We cannot guarantee that our match filters will locate all relevant scholarships or that any or all scholarships will be applicable. SchoolSoup.com does not guarantee that you will be awarded a scholarship, loan or any other award and is not responsible for any decisions made by scholarship sponsors, loan providers or other third parties listed on the Site.

SCHOOLSOUP.COM ASSUMES NO RESPONSIBILITY OR LIABILITY FOR AGGREGATE CONTENT, INCLUDING BUT NOT LIMITED TO: (1) THE TIMELINESS OF CONTENT, (2) THE ACCURACY OF INCLUDED CONTENT (3) THE CONTENT AGGREGATED FROM THIRD PARTY SITES.

INDEMNITY

You agree to indemnify and hold SchoolSoup.com, its officers, directors, subsidiaries, affiliates, employees, representatives, agents, licensors and their respective successors and assigns harmless from any claim or demand (including without limitation, reasonable legal fees), made by any third party in connection with your use of the Site, our Services or the information provided by SchoolSoup.com, including without limitation, any violation of the law which results from using SchoolSoup.com.

SchoolSoup.com makes no representation that the Site is appropriate or available for use in any particular location. Those who choose to access the Site do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

DISCLAIMERS

SchoolSoup.com specifically disclaims any liability for any direct, indirect, incidental, common law, statutory, regulatory, consequential, compensatory, punitive or special damages arising in any way from your use of the Site including, but not limited to, any liability from viruses that may infect your computer equipment. SchoolSoup.com disclaims any and all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability and fitness for a particular purpose.

SchoolSoup.com disclaims any and all liability for the acts, omissions and the conduct of any third parties in connection with your use of the Site. Your sole remedy against SchoolSoup.com for dissatisfaction with the Site or any content in the Site is to stop using the Site. Except where prohibited by law, in no event will SchoolSoup.com be liable to you for any indirect, consequential, exemplary incidental or punitive damages, including lost profits, even if SchoolSoup.com has been advised of the possibility of such damages. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you. If these limitations or exclusions are held to be invalid or unenforceable for any reason, the maximum collective liability for SchoolSoup.com, its parent, officers, directors, affiliates, employees and agents will be $150.00 U.S. in the aggregate. Due to the nature of these Terms, in addition to monetary damages, SchoolSoup.com will be entitled to equitable relief upon a breach of these Terms by you.

GOVERNING LAW AND EXCLUSIVE JURISDICTION

These terms shall be governed by and construed in accordance with the laws of the Province of Manitoba, and the laws of Canada applicable therein and shall govern as to the interpretation, validity and effect of this Agreement, notwithstanding any conflict of law provision or your domicile, residence or physical location. You hereby consent and submit to the exclusive jurisdiction of the courts of the Province of Manitoba in any action or proceeding arising out of or relating to this Agreement.

MISCELLANEOUS

The failure of SchoolSoup.com to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then the court should endeavor to give effect to the intention of the provision and that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. This Agreement may not be transferred or assigned by you but may be assigned by SchoolSoup.com without restriction. Headings are for convenience only and do not form part of these terms and conditions, and no construction or inference shall be derived from such headings.

ENTIRE AGREEMENT

These Terms and our Privacy Policy contain the entire agreement between you and SchoolSoup.com with respect to this Site. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and SchoolSoup.com.
